Terms of Service & Data Processing

1. Operating Corporate Entity
These Terms of Service and Data Processing Agreement (“Terms”) constitute a legally binding contract between you (“Client”, “Licensee”, or “You”) and Strict Leigh LLC (“Strict Leigh”, “Company”, “We”, “Us”), a limited liability company organized under the laws of the State of California, United States of America, with registered offices at 2818 Sierra St, Riverbank CA 95367, USA (Federal EIN: 42-2932385).
2. Strict Digital-Only Delivery — Zero Physical Sales Policy
MANDATORY COMMERCIAL NOTICE:
Strict Leigh LLC operates exclusively as a digital design studio, computational fashion research lab, and digital asset distributor. Under no circumstances does Strict Leigh LLC manufacture, warehouse, sell, ship, or deliver physical garments, cut textiles, or tangible apparel items.
All purchases made through our platform—including vector print archives, Clo3D parametric sewing patterns, procedural shaders, and research monographs—are delivered solely via electronic file transmission, download links, or digital vault access keys provided instantly by our authorized merchant Whop Inc.
3. Commercial Licensing & Intellectual Property
Upon successful payment verification, Strict Leigh LLC grants you a non-exclusive, worldwide, perpetual license to utilize the acquired digital assets in accordance with the specific tier purchased:
- Vector Print Libraries & Patterns: Authorized for commercial manufacturing on apparel, marketing textiles, digital avatars, and physical production runs of your own apparel brand.
- Single-Tenant Bespoke Commissions: Exclusive intellectual property ownership and full copyright assignments are executed under separate written addenda provided upon project completion.
- Prohibited Resale of Raw Files: You may not sub-license, resell, redistribute, or make available raw master project files (.SVG, .AI, .ZPrj, .blend) in any open stock marketplace or digital repository.
4. Payment Processing, Billing & Whop Terms
All monetary transactions are processed through Whop Inc. (whop.com), acting as our merchant of record and secure checkout gateway. By placing an order, you agree to Whop’s Customer Terms of Service. All prices are listed in United States Dollars ($ USD) unless otherwise noted.
Due to the immediate delivery nature of downloadable digital content, all digital asset sales are final once the download link or license key is delivered, except where required by applicable California or US statutory consumer protection laws or in cases of documented technical defects.
5. Data Processing Agreement (DPA) under US Law
This section establishes the parameters of data processing compliant with the California Consumer Privacy Act (CCPA / CPRA) and the Uniform Commercial Code (UCC):
Scope & Roles: Strict Leigh LLC acts as a “Business” or “Controller” regarding your customer account data, and as a “Service Provider” when processing client briefs and design files.
Authorized Purpose: Customer data (name, email, order telemetry) is processed solely for: (i) verifying digital access entitlements, (ii) fulfilling Whop checkout transactions, (iii) replying to technical and design support inquiries, and (iv) IRS federal tax compliance.
Confidentiality of Client Briefs: All proprietary design assets, mood boards, and aesthetic concepts submitted through our feedback portal remain your strict intellectual property. Strict Leigh LLC implements TLS 1.3 encryption and restricted access controls to preserve design secrecy.
6. Limitation of Liability & Warranty Disclaimer
To the maximum extent permitted by applicable California and United States law, all digital assets and software tools are provided “as is” without warranties of any kind, whether express or implied. In no event shall Strict Leigh LLC, its directors, or its affiliates be liable for any indirect, incidental, or consequential damages resulting from digital fabric simulations or downstream third-party garment manufacturing discrepancies.
7. Governing Law & Dispute Resolution
These Terms and any dispute arising from your use of Strict Leigh digital assets shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any legal proceeding shall be initiated exclusively in the state or federal courts located in California, USA.
